Client Situation: The client is a leading distributor for speciality food and non-food ingredients in India. The company has two business lines, which are principal and non-principal. The company was operating through two legal entities.

The Company received a buy-out offer for its principal business from one of the global distributors (“proposed buyer”). We were appointed to assist the company to prepare and help them during the due diligence process (financial, tax and legal).

Solution offered:

We took charge of preparing the data room for the company. Within the target time of 2 weeks we:

  • Identified gaps in the data requested and data readiness
  • Prepared last three years’ critical information such as carve-out financials, gross margin by SKU, quantitative reconciliations, etc.
  • Analysed the data to identify red flags and potential DD issue
  • Discussed the issues with the management and formulated the responses
  • Prepared the data room

We also assisted management during the due diligence process with additional DD requests, solving queries received from the DD and closing all pending issues.

 Outcome: Completing DD within a defined timeline to the client's satisfaction.
